KURZE DARSTELLUNG DES SACHVERHALTS
Die Klage gegen die Beklagten zu 1 und 2 wurde am 4. August 2023 eingereicht. Haupttermin ist für Ende Januar 2025 vorgesehen.
Die Beklagte zu 2 führt als Marketing Agent gemäß den mit der Guangdong Oppo Mobile Telecommunications Corp. Ltd. und der OTECH Germany GmbH geschlossenen Dienstleistungsverträgen Supportleistungen, wie z. B. Markt- und Zielgruppenanalysen, Suchmaschinenoptimierungen, Social Media Marketing sowie ganze Marketingkampagnen durch und erbringt zusätzlich administrative Dienstleistungen. Im Jahr 2020 wickelte die Gesellschaft übergangsweise für die Schwestergesellschaft OTECH Germany GmbH die Verkaufsgeschäfte von Smartphones ab. Dieser Geschäftszweig wurde im August 2020 von der OTECH Germany GmbH übernommen.
Im Juni 2023 wurde die OTECH Germany GmbH vom Landgericht Mannheim wegen Patentverletzung verurteilt. In dem Blog „FOSS PATENTS“ wurde am 7. Juni 2023 hierüber berichtet. Der Jahresbericht 2020/2021 der Beklagten zu 2, in dem die oben geschilderten geschäftlichen Verhältnisse dargestellt worden sind, wurde am 4. August 2024 veröffentlicht und war seitdem online abrufbar. Die Klägervertreten haben diesen am 18. Februar 2024 online abgerufen.
Die Klägerin hat am 15 März 2024 eine vor dem Landgericht München I anhängige Patentverletzungsklage um die Beklagte zu 3 erweitert.
Am 5. Juni 2024 hat die Klägerin im vorliegenden Verfahren die Zustimmung zu einer Erweiterung der Klage auf die OTECH Germany GmbH beantragt.
Die Beklagten zu 1 und 2 wurden angehört. Sie wenden sich gegen eine Zulassung der Klageerweiterung. Sie halten diese für unzulässig und für nicht sachgerecht. Die Klägerin hätte die OTECH Germany GmbH direkt verklagen können und müssen, jedenfalls aber hätte sie den Antrag auf Zulassung der Klageerweiterung wesentlich früher stellen können. Hilfsweise seien die Fristläufe anzupassen. Der OTECH Germany GmbH seien dieselben Fristen einzuräumen, wie jedem anderen Beklagten. Der Termin Ende 2025 könne daher nicht gehalten werden.
Die Klägerin argumentiert, dass sich die anwaltlichen Vertreter der Beklagten OTECH Germany GmbH vor dem Landgericht München I schlicht auf den Vortrag der anderen Beklagten berufen hätten. Die Haltung der (identischen) hiesigen Vertreten sei daher nicht nachvollziehbar.
Im Übrigen sei die Tätigkeit der OTECH Germany GmbH der Klägerin vor Klageerhebung nicht bekannt gewesen. Erst durch den Jahresabschluss habe die Klägerin Kenntnis davon erlangt, dass die Beklagten die Vertriebstätigkeiten der Beklagten zu 2) großteils auf die OTECH Germany GmbH verlagert haben und mutmaßlich deswegen das Landgericht Mannheim die OTECH Germany GmbH verurteilt habe. Dem Blog-Artikel auf FOSS PATENTS habe man keine Begründung dafür entnehmen können, warum das Landgericht Mannheim eine Passivlegitimation der OTECH Germany GmbH angenommen habe. Der Klägerin seien die Urteilsgründe nicht bekannt gewesen. Diese seien bis heute nicht bei Beck oder Wolters Kluwer veröffentlicht worden. Daher sei es der Klägerin nicht möglich gewesen, die OTECH Germany GmbH bereits in die Klage aufzunehmen.
Auch der Zeitpunkt der Antragstellung auf Zulassung der Klageerweiterung spreche aus prozessökonomischen Gründen nicht dagegen, die Klageerweiterung zuzulassen. Die Zulassung der Klageerweiterung verhindere, dass die Parteien in einem weiteren Prozess die gleichen Argumente austauschten. Auf den Zeitpunkt komme es dazu nicht an. Zudem benachteilige der gewählte Zeitpunkt die Beklagten nicht, wie auch ein Vergleich mit dem parallelen Verfahren vor dem LG München zeige. Um den Aufwand der Klageerweiterung insbesondere auf Seiten des Landgerichts München I so gering wie möglich zu halten, habe die Klägerin bei dem Prozessvertreter der Beklagten zu 1) und 2) nachgefragt, ob die Klägerin mit der Klageerweiterung vor dem Landgericht München I sie als Prozessbevollmächtigte angeben könne, um die Zustellung zu vereinfachen. Dies hätte der Prozessvertreter der Beklagten zu 1) und 2) bejaht, sodass die Klageerweiterung ohne neue Zustellung durchgeführt habe werden können. Nachdem die Klägerin erfolgreich die Klage vor dem Landgericht München erweitert habe, habe die Klägerin auch den Entschluss gefasst, die Klage vor der Lokalkammer München zu erweitern. Um eine Zustellung über das CMS zu ermöglichen, habe die Klägerin wiederum bei dem Prozessvertreter der Beklagten zu 1) und 2) nachgefragt, ob dieser für eine Klageerweiterung auch vor der Lokalkammer München zustellungsbevollmächtigt sei. Erst nach einer wiederholten Nachfrage habe die Klägerin am 17. Mai 2024 die Antwort erhalten, dass der Prozessvertreter der Beklagten zu 1) und 2) die OTECH Germany GmbH zu diesem Zeitpunkt („At this stage“) vor der Lokalkammer München nicht vertrete. Parallel habe sich die Klägerin mit der Lokalkammer München in Kontakt gesetzt, um zu erfahren, wie eine subjektive Klageerweiterung über das CMS vorgenommen werden könne, weil bekannt gewesen sei, dass der Workflow für die subjektive Klageerweiterung nicht betriebsbereit gewesen sei. Das Gericht habe bestätigt, dass die subjektive Klageerweiterung nach R. 306.1 lit a) VerfO zu dem damaligen Zeitpunkt nicht vollständig im CMS implementiert war. Die Klägerin habe daraufhin in einer weiteren E-Mail angesprochen, ob dieses technische Problem mit einer neuen Klage, die nach Erhebung mit der bestehenden Klage sodann verbunden würde, gelöst werden könne. Das Gericht habe diese Möglichkeit grundsätzlich bestätigt, aber vorausgesetzt, dass die Klagen zur selben Zeit „reif“ sein müssten. Zudem habe das Gericht vorgeschlagen, dass sich insoweit die Parteien auf ein verkürztes Fristenregime einigen, damit die Klagen in einem Termin verhandelt werden könnten. Vor dem Hintergrund, dass der Prozessvertreter der Beklagten zu 1) und 2) der Klägerin zwischenzeitlich mitgeteilt habe, dass er für eine Klageerweiterung nicht zustellungsbevollmächtigt sei, sei eine solche Lösung nicht möglich gewesen. Die Klägerin habe sich daher gezwungen gesehen, dennoch den nicht vollständig implementierten Workflow im CMS zu nutzen. Dies zeige aber, dass die Klägerin sich darum bemüht habe, die Klageerweiterung für alle Seiten möglichst ohne Mehraufwand abzuwickeln. Die Abstimmung mit der Gegenseite sowie dem Gericht in Bezug auf die Unzulänglichkeit des CMS habe Zeit in Anspruch genommen, sodass die Klägerin die Klage im Vergleich zu dem Verfahren vor dem Landgericht München später erweitert habe. Dies könne ihr aber nicht zur Last gelegt werden.
ANTRÄGE DER PARTEIEN
Die Klägerin beantragt:
„erweitern den vorliegenden Rechtsstreit auf die Beklagte zu 3) und stellen die Anträge zu I. bis einschließlich IX. aus der Klageschrift vom 31.07.2023 auch in Bezug auf die Beklagte zu 3).
Die Beklagten zu 1 und 2 beantragen:
Zurückweisung des Antrags und hilfsweise Anpassung der Fristenläufe.
GRÜNDE DER ANORDNUNG
Das Gericht übt das ihm in Regel 305 VerfO eingeräumte Ermessen dahingehend aus, die Klageerweiterung nicht zuzulassen.
1. Gesetzeslage
a. Nach Regel 305 VerfO kann das Gericht auf Antrag einer Partei anordnen, dass eine Person (a) als Partei hinzugefügt wird, (b) als Partei ausscheidet, (c) eine andere Partei ersetzt. Das Gericht fordert die anderen Verfahrensparteien auf, nach Zustellung des Antrags so bald wie möglich dazu Stellung zu nehmen. Ordnet das Gericht an, dass eine Person Partei wird oder als Partei ausscheidet, kann es in Bezug auf diese Partei geeignete Anordnungen hinsichtlich der Zahlung von Gerichtsgebühren und Kosten treffen.
b. Nach Regel 306 VerfO erteilt das Gericht Anweisungen zur Regelung der Auswirkungen auf die Verfahrensleitung, falls es anordnet, dass eine Partei nach Regel 305.1 VerfO hinzugefügt, entfernt oder durch eine andere Partei ersetzt wird. Das Gericht bestimmt ferner, in welchem Maße eine neue Partei an den bisherigen Verfahrensstand gebunden ist.
c. Ein Vergleich mit der Reglung in Regel 263 VerfO zur objektiven Klageänderung, insbesondere zur Klageerweiterung, zeigt, dass in Regel 305 VerfO der Gesichtspunkt der zeitlichen Verspätung der Antragstellung nicht explizit zu einem eine positive Entscheidung ausschließenden Tatbestandsmerkmal erhoben worden ist. Dies bedeutet aber nicht, dass dieser Gesichtspunkt keine Rolle spielt. Vielmehr gewährt die Regelung dem Gericht ein weites Ermessen dahingehend, eine Klageerweiterung trotz einer etwaigen Verspätung der Antragstellung aufgrund anderer Erwägungen, wie zum Beispiel der Prozessökonomie, zuzulassen. Dabei ist aber stets zu berücksichtigen, dass die gesamte Verfahrensordnung davon geprägt ist, ein zügiges Verfahren unter Gewährung hinreichenden rechtlichen Gehörs für alle Parteien zur Verfügung zu stellen.
2. Der Antrag auf Gestattung der subjektiven Klageerweiterung ist als verspätet gestellt zu bewerten.
Die Klägerin hat nicht in Abrede gestellt, dass sie aufgrund der Meldung bei FOSS PATENTS vom 7. Juni 2023 bereits im Juni 2023 davon Kenntnis hatte, dass die OTECH Germany GmbH vom Landgericht Mannheim wegen Patentverletzung verurteilt worden war. Sie hat nicht mitgeteilt, wann genau ihr die Urteilsgründe vorlagen. Jedenfalls hätte sie aber die Kenntnis um dieses Urteil zum Anlass nehmen können und müssen, um weitere Nachforschungen anzustellen, zumal sie die Beklagte zu 1 und 2 bereits vor der Lokalkammer wegen Patentverletzung in Anspruch genommen hatte. Hätte sie das getan, dann hätte sie den seit 4. August 2023 online verfügbaren Geschäftsbericht zu einem früheren Zeitpunkt als am 18. Februar 2024 abrufen und dementsprechend den Antrag auf Gestattung der Klageerweiterung wesentlich früher als am 5. Juni 2024 stellen können.
3. Die Umstände des vorliegenden Falls gebieten keine Zulassung der Klagerweiterung trotz dieser Verspätung.
Die Beklagten zu 1 und 2 haben eine Nichtigkeitswiderklage eingereicht. Das schriftliche Verfahren wird im September oder Oktober 2024 abgeschlossen sein. Es ist derzeit nicht bekannt, ob und durch wen sich die OTECH Germany GmbH anwaltlich vertreten lassen wird. Es ist auch nicht bekannt, ob sie von ihrem Recht Gebrauch machen wird, eine eigenständige Nichtigkeitswiderklage einzureichen. Tut sie das, so wäre sie in Bezug auf die darin vorzutragenden Nichtigkeitsangriffe nicht auf dasjenige beschränkt, was die Beklagten zu 1 und 2 bisher vorgetragen haben. Die Anordnung einer Bindung an den bisherigen Verfahrensstand gem. Regel 306.2 VerfO erschiene insoweit zu weitgehend. Denn grundsätzlich kann jeder die Nichtigkeit eines erteilten Patents mit einer Nichtigkeitsklage angreifen. Bei Zulassung der Klageerweiterung wäre die OTECH Germany GmbH aber wegen Art. 33 (4) EPGÜ darauf beschränkt, dies im Rahmen einer Nichtigkeitswiderklage zu tun. Eine weitere Beschränkung auf diejenigen Nichtigkeitsangriffe, die die Beklagten zu 1 und 2 im Rahmen ihrer Nichtigkeitswiderklage bereits vorgetragen habe, erschiene vor diesem Hintergrund als nicht fair. In einer solchen Situation müsste dann aber auch der Klägerin als Patentinhaberin die Möglichkeit eingeräumt werden, sich gegen diese neuen Nichtigkeitsangriffen zu verteidigen, auch mit einem weiteren (Hilfs-)Antrag auf Änderung des Patents. Mithin könnte das schriftliche Verfahren, wenn überhaupt, nicht so stark verkürzt werden, dass der geplante Termin Ende Januar 2025 noch sinnvoll vorbereitet und durchgeführt werden könnte. Prozessökonomische Gesichtspunkte gebieten daher nicht zu Zulassung des verspätet gestellten Antrags.
Dem Vortrag der Klägerin kann im Übrigen nicht entnommen werden, dass sie das Ziel der Klageerweiterung höher gewichtet, als das Ziel, den Termin Ende 2025 zu halten. Im Gegenteil ist aus parallel anhängigen Anträgen auf Aussetzung des Verfahrens und Absetzung der Verhandlungstermine mit Blick auf Parallelverfahren im Vereinigten Königreich bekannt, dass die Klägerin einer Aussetzung vehement entgegentritt und großen Wert auf die Beibehaltung der geplanten Termine legt.
Ein weiterer Faktor bei der Abwägung ist auch, dass die Nachteile für die Klägerin überschaubar sind. Schließlich kann die Klägerin jederzeit ein neues, separates Verfahren gegen die OTECH Germany GmbH einreichen. Dieses neue Verfahren würde innerhalb des (effizienten) Verfahrensrahmens des EPG rasch zur Entscheidungsreife gebracht werden.
4. Die Berufung ist zuzulassen, weil bisher keine Klärung der sich hier stellenden Fragen durch das Berufungsgericht erfolgt ist.
ANORDNUNG
1. Der Antrag wird zurückgewiesen.
2. Die Berufung wird zugelassen.

BRIEF STATEMENT OF THE FACTS
The action against defendants 1 and 2 was filed on 4 August 2023. The main hearing is scheduled for the end of January 2025.
The second defendant, as a marketing agent, provides support services such as market and target group analyses, search engine optimisation, social media marketing and entire marketing campaigns in accordance with the service agreements concluded with Guangdong Oppo Mobile Telecommunications Corp. Ltd. and OTECH Germany GmbH, and also provides administrative services. In 2020, the company handled the sale of smartphones for its sister company OTECH Germany GmbH on a transitional basis. This line of business was taken over by OTECH Germany GmbH in August 2020.
In June 2023, OTECH Germany GmbH was convicted of patent infringement by the Mannheim Regional Court. This was reported in the blog ‘FOSS PATENTS’ on 7 June 2023. The 2020/2021 annual report of the second defendant, in which the business circumstances described above were presented, was published on 4 August 2024 and has been available online since then. The plaintiffs' representatives accessed it online on 18 February 2024.
On 15 March 2024, the plaintiff extended a patent infringement action pending before the Munich I Regional Court to include the third defendant.
On 5 June 2024, the plaintiff applied for leave to extend the action to include OTECH Germany GmbH in the present proceedings.
Defendants 1 and 2 were heard. They object to the extension of the action being allowed. They consider it inadmissible and inappropriate. The plaintiff could and should have sued OTECH Germany GmbH directly, but in any case could have filed the application for extension of the action much earlier. In the alternative, the time limits should be adjusted. OTECH Germany GmbH should be granted the same time limits as any other defendant. The deadline at the end of 2025 cannot therefore be met.
The plaintiff argues that the legal representatives of the defendant OTECH Germany GmbH before the Munich I Regional Court simply referred to the submissions of the other defendants. The position of the (identical) representatives in the present case is therefore incomprehensible.
Furthermore, the plaintiff was not aware of the activities of OTECH Germany GmbH prior to the filing of the action. It was only through the annual financial statements that the plaintiff became aware that the defendants had transferred most of the sales activities of the second defendant to OTECH Germany GmbH and that this was presumably the reason why the Regional Court of Mannheim had ruled against OTECH Germany GmbH. The blog article on FOSS PATENTS did not provide any reasons why the Regional Court of Mannheim had assumed that OTECH Germany GmbH had passive legal standing. The plaintiff was not aware of the grounds for the judgment. These have not yet been published by Beck or Wolters Kluwer. Therefore, it was not possible for the plaintiff to include OTECH Germany GmbH in the action.
The timing of the application for leave to extend the action also did not preclude the extension of the action for reasons of procedural economy. The extension of the action prevented the parties from exchanging the same arguments in further proceedings. The timing was irrelevant in this regard. Furthermore, the timing chosen did not disadvantage the defendants, as a comparison with the parallel proceedings before the Munich Regional Court showed. In order to keep the costs of extending the action as low as possible, particularly for the Munich Regional Court I, the plaintiff asked the legal representative of defendants 1) and 2) whether the plaintiff could name itself as the legal representative in the extension of the action before the Munich Regional Court I in order to simplify service. The legal representative of defendants 1) and 2) agreed to this, so that the extension of the action could be carried out without new service. After the plaintiff had successfully extended the action before the Munich Regional Court, the plaintiff also decided to extend the action before the Munich Local Chamber. In order to enable service via the CMS, the plaintiff again asked the legal representative of defendants 1) and 2) whether he was also authorised to accept service for an extension of the action before the Munich Local Chamber. Only after repeated enquiries did the plaintiff receive a reply on 17 May 2024 stating that the legal representative of defendants 1) and 2) did not represent OTECH Germany GmbH before the Munich Local Court at that time (‘At this stage’). At the same time, the plaintiff contacted the Munich Local Court to find out how a subjective extension of the action could be made via the CMS, as it was known that the workflow for subjective extensions of actions was not operational. The court confirmed that the subjective extension of the action pursuant to R. 306.1 lit a) VerfO had not been fully implemented in the CMS at that time. The plaintiff then asked in another email whether this technical problem could be solved by filing a new action, which would then be joined to the existing action after it had been brought. The court confirmed this possibility in principle, but on condition that the actions had to be ‘ready’ at the same time. In addition, the court suggested that the parties agree on a shortened time limit regime so that the claims could be heard in one hearing. Against the background that the legal representative of the first and second defendants had meanwhile informed the plaintiff that he was not authorised to serve a claim extension, such a solution was not possible. The plaintiff therefore felt compelled to use the workflow in the CMS, even though it had not been fully implemented. However, this shows that the plaintiff endeavoured to handle the extension of the action for all parties with as little additional effort as possible. Coordination with the opposing party and the court regarding the inadequacy of the CMS took time, with the result that the plaintiff extended the action later than in the proceedings before the Munich Regional Court. However, this cannot be held against it.
MOTIONS OF THE PARTIES
The plaintiff requests:
"Extend the present legal dispute to the third defendant and include the motions under I. to IX. inclusive from the statement of claim dated 31 July 2023 also with regard to the third defendant.
The first and second defendants request:
Rejection of the application and, in the alternative, adjustment of the time limits.
REASONS FOR THE ORDER
The court exercises the discretion granted to it in Rule 305 VerfO to refuse to allow the extension of the action.
1. Legal situation
a. According to Rule 305 VerfO, the court may, at the request of a party, order that a person (a) be added as a party, (b) be removed as a party, or (c) replace another party. The court shall invite the other parties to the proceedings to comment on the application as soon as possible after it has been served. If the court orders that a person be added as a party or removed as a party, it may make appropriate orders in respect of that party concerning the payment of court fees and costs.
b. Pursuant to Rule 306 VerfO, the court shall issue instructions to regulate the effects on the conduct of the proceedings if it orders that a party be added, removed or replaced by another party pursuant to Rule 305.1 VerfO. The court shall also determine the extent to which a new party is bound by the previous state of the proceedings.
c. A comparison with the provision in Rule 263 VerfO on objective amendments to claims, in particular on the extension of claims, shows that in Rule 305 VerfO, the aspect of the delay in filing the application has not been explicitly raised as a factor precluding a positive decision. However, this does not mean that this aspect is irrelevant. Rather, the provision grants the court broad discretion to allow an extension of the action despite a possible delay in filing the application on the basis of other considerations, such as procedural economy. However, it must always be taken into account that the entire rules of procedure are characterised by the aim of ensuring expeditious proceedings while granting all parties a sufficient right to be heard.
2. The application for permission to extend the subjective scope of the action must be considered late.
The plaintiff did not dispute that, based on the report in FOSS PATENTS on 7 June 2023, it was already aware in June 2023 that OTECH Germany GmbH had been convicted of patent infringement by the Regional Court of Mannheim. It did not state when exactly it received the grounds for the judgment. In any case, however, it could and should have taken the knowledge of this judgment as an opportunity to conduct further investigations, especially since it had already brought an action against the first and second defendants before the local chamber for patent infringement. Had it done so, it could have accessed the annual report available online since 4 August 2023 at an earlier date than 18 February 2024 and, accordingly, could have filed the application for leave to extend the action much earlier than 5 June 2024.
3. The circumstances of the present case do not warrant the extension of the action despite this delay.
Defendants 1 and 2 have filed a counterclaim for annulment. The written proceedings will be concluded in September or October 2024. It is currently unknown whether and by whom OTECH Germany GmbH will be represented by legal counsel. It is also unknown whether it will exercise its right to file an independent counterclaim for annulment. If it does so, it would not be limited to the grounds for invalidity previously submitted by defendants 1 and 2. Ordering the parties to be bound by the current state of the proceedings pursuant to Rule 306.2 VerfO would appear to be too far-reaching in this respect. In principle, anyone can challenge the validity of a granted patent by bringing an action for invalidity. However, if the extension of the action were to be allowed, OTECH Germany GmbH would be limited to doing so in the context of a counterclaim for invalidity due to Article 33(4) EPGÜ. A further restriction to those attacks on validity which the defendants 1 and 2 have already put forward in the context of their counterclaim for invalidity would not appear fair in this context. In such a situation, however, the plaintiff, as the patent proprietor, would also have to be given the opportunity to defend itself against these new invalidity claims, including by means of a further (subsidiary) request for amendment of the patent. Consequently, the written proceedings, if any, could not be shortened to such an extent that the planned date at the end of January 2025 could still be prepared and carried out in a meaningful manner.
Considerations of procedural economy therefore do not justify granting the late application. Furthermore, it cannot be inferred from the plaintiff's submission that it attaches greater importance to the objective of extending the action than to the objective of keeping the deadline at the end of 2025.
On the contrary, it is known from parallel applications for suspension of the proceedings and postponement of the hearing dates in view of parallel proceedings in the United Kingdom that the plaintiff vehemently opposes a suspension and attaches great importance to maintaining the planned dates.
Another factor to be taken into account is that the disadvantages for the plaintiff are manageable. Finally, the plaintiff can file a new, separate case against OTECH Germany GmbH at any time. This new case would be brought to a decision quickly within the (efficient) procedural framework of the EPG.
4. The appeal must be allowed because the court of appeal has not yet clarified the questions raised here.
ORDER
1. The application is dismissed.
2. The appeal is allowed.
