Verfahrensanordnung des Gerichts erster Instanz des Einheitlichen Patentgerichts, erlassen am 03.04.2024
Sachverhalt
Die Klägerin macht im Rahmen ihrer Klage die Verletzung des Klagepatents geltend. Die Streitparteien verhandelten bisher erfolglos über eine Lizenz für das 3G- und 4G-Portfolio der Klägerin.
Die Beklagten sind der Verletzungsklage unter anderem mit dem Einwand entgegengetreten, die im Rahmen besagter Verhandlungen geltend gemachten Lizenzforderungen der Klägerin seien nicht FRAND. Die Frage, was vorliegend FRAND ist, steht nach dem Vortrag der Beklagten „im Mittelpunkt des Streits“.
Sowohl die Klägerin als auch die Beklagten sind der Ansicht, sich im Rahmen der Lizenzierungsverhandlungen FRAND-gemäß verhalten zu haben. Beide Seiten haben daher beantragt, das Gericht möge die Vorlage von Beweismitteln anordnen; die Klägerin hat sich dabei auf von ihr selbst abgeschlossene Verträge bezogen, die Beklagte zu 1) sowohl auf eigene Lizenzverträge als auch solche, welche die Klägerin abgeschlossen hat bzw. abgeschlossen haben könnte.
A. Anträge der Beklagten
Die Beklagte zu 1) (OPPO) hat b e a n t r a g t,
die Klägerin anzuweisen, an die Beklagte zu 1) binnen zwei Wochen nach Erlass der Anordnung die folgenden Dokumente bzw. Informationen in digitaler Form zu übermitteln:
(1) Alle von Panasonic abgeschlossenen Lizenzvereinbarungen (einschließlich aller damit in Verbindung stehenden Vereinbarungen, die sich auf die Gegenleistungen auswirken, die gemäß der Lizenzvereinbarungen auszutauschen sind), wobei die lizenzierten Rechte Patente abdecken, die als standardessentiell für den 3G- und/oder 4G-Standard erklärt wurden (3G-und/oder 4G-SEP) und sich auf Mobilfunkgeräte erstrecken;
(2) alle durch Dritte abgeschlossenen Lizenzvereinbarungen (einschließlich aller damit in Verbindung stehenden Vereinbarungen, die sich auf die Gegenleistungen auswirken, die gemäß der Lizenzvereinbarungen auszutauschen sind), die 3G- und/oder 4G-SEPs zum Gegenstand haben, deren Inhaber Panasonic war oder derzeit ist, vorzulegen, die sich auf Mobilfunkgeräte erstrecken und die sich in Panasonics Verfügungsgewalt befinden;
(3) die von Panasonic mit den Unternehmen "X" und "Y" abgeschlossenen Lizenzvereinbarungen, auf die Panasonic bei den Lizenzverhandlungen Bezug genommen hat;
(4) alle Lizenzvereinbarungen, die Panasonic mit M. und/oder Q. geschlossen hat und die 3G- und/oder 4G-SEPs zum Gegenstand haben;
(5) eine vollständige Übersicht über alle Rechtsgeschäfte, bei denen Panasonic 3G- und/oder 4G-SEPs veräußert hat;
(6) alle Vereinbarungen über die in der Übersicht zu Ziffer (5) aufgeführten Rechtsgeschäfte, einschließlich etwaiger Zusatzvereinbarungen und/oder weiterer finanzieller Vereinbarungen, durch die Panasonic geldwerte Vorteile zufließen bzw. zugeflossen sind;
Darüber hinaus hat die Beklagte zu 1) b e a n t r a g t,
anzuordnen, dass
(7) für den Fall, dass Panasonic während des hiesigen Klageverfahrens Lizenzvereinbarungen beinhaltend 3G- und/oder 4G-SEPs (vgl. (1)) abschließt, dass jede solche Vereinbarung spätestens (i) 14 Tage nach ihrer Unterzeichnung oder (ii), wenn das Dokument eine vertragliche Ankündigungsfrist in Bezug auf die Offenlegung der Vereinbarung in einem Gerichtsverfahren enthält, am Tag nach Ablauf der vertraglichen Ankündigungsfrist, offengelegt werden muss (wobei eine solche Ankündigung so bald wie möglich nach der Unterzeichnung zu erfolgen hat).
und anzuordnen,
dass es OPPO gestattet wird, eigene Lizenzverträge, die OPPO mit Dritten abgeschlossen hat und die sich auf 3G- und/oder 4G-SEPs erstrecken, vorzulegen;
und anzuordnen,
dass die Beweismittel nicht übersetzt werden müssen.
B. Anträge der Klägerin
Die Klägerin hat b e a n t r a g t,
I. anzuordnen, dass die Klägerin elektronische Kopien folgender Lizenzverträge in diesem Rechtsstreit vorlegt:
− Patent License Agreement (September 2019) zwischen der Klägerin und S.P. einerseits und S.E. andererseits;
− Patent License Agreement (Oktober 2019) zwischen der Klägerin und S.P. einerseits und I. andererseits;
Der Klägerin wird aufgegeben, die von der Klägerin benannten Vertragsparteien vorab unter Einräumung einer kurzen Stellungnahmefrist von mindestens 15 Werktagen über die beabsichtigte Einsichtnahme zu informieren und dabei die gerichtliche Anordnung vorzulegen. Über die entsprechende Kommunikation sind die Beklagte und das Gericht zu informieren.
II. der Klägerin zu gestatten, Auszüge aus diesen Verträgen zu schwärzen, soweit sich die Klägerin für ihre Tatsachenbehauptung nicht auf diese Auszüge stützen will;
III. anzuordnen, dass die Klägerin bei Vorlage der unter I. genannten Verträge folgende Geheimhaltungsanträge stellen muss:
„I. Gemäß R. 262.2 VerfO:
1. die folgenden Informationen als vertraulich einzustufen, so dass die Bestimmungen von R. 262.2 VerfO Anwendung finden und die betreffenden Informationen insbesondere nicht im Register veröffentlicht oder anderweitig offengelegt werden, nämlich
Informationen betreffend Patentlizenzverträge, die die Klägerin mit Dritten geschlossen hat (wobei diese Informationen auch, aber nicht abschließend, die Patentlizenzverträge selbst umfassen), sowie Informationen betreffend Vertragsverhandlungen über diese relevanten Patentlizenzverträge, welche die Klägerin oder ein mit dieser verbundenes Unternehmen mit Dritten geschlossen hat oder über deren Abschluss die Klägerin oder ein mit dieser verbundenes Unternehmen derzeit in Verhandlungen steht, wobei auch solche Informationen umfasst sind, die die jeweilige Vertragsbeziehung nach Vertragsschluss betreffen,
insbesondere
− Lizenzverträge, die infolge der Vorlageanordnung vorgelegt werden;
2. die Öffentlichkeit gemäß Art. 45 EPGÜ iVm R.115 VerfO von der Zwischenanhörung und/oder mündlichen Verhandlung auszuschließen, soweit die nach Ziffer I.1. als vertraulich eingestuften Informationen Gegenstand werden sollen;
3. alle in den Urteilsgründen oder sonstigen Bekanntmachungen enthaltenen Angaben unkenntlich zu machen, die sich auf die gemäß Ziffer I.1. als vertraulich eingestuften Informationen beziehen (R. 262.1 lit a) VerfO);
4. die unter Ziffer I.1. genannten Informationen vom Zugriff Dritter auszuschließen (Art. 58 EPGÜ iVm R. 262.1 b), 262 VerfO);
5. die Parteien zu verpflichten, die vertraulichen Informationen nach Ziffer I.1. über das Verfahren hinaus streng vertraulich zu behandeln und die vertraulichen Informationen ausschließlich für die Zwecke dieses Verfahrens zu verwenden;
II. Hilfsweise für den Fall, dass den Anträgen zu Ziffer I. nicht vollumfänglich stattgegeben wird, anzuordnen, dass
die Information und/oder die vorgelegten Unterlagen, die Gegenstand der vorstehenden Anträge nach Ziffer I sind, nicht als zur Akte gereicht gelten sollen und im Verfahren vom Gegner und vom Gericht nicht verwendet werden dürfen, wenn nicht der Kläger innerhalb von 14 Tagen nach Zugang der endgültigen Entscheidung ausdrücklich erklärt, dass die Information und/oder die vorgelegten Unterlagen trotzdem als zur Akte gereicht gelten sollen und im Verfahren vom Gegner und vom Gericht verwendet werden dürfen.“
und
„I. Gemäß R. 262A VerfO
1. die folgenden Informationen als vertraulich einzustufen:
Informationen betreffend Patentlizenzverträge, die die Klägerin mit Dritten geschlossen hat (wobei diese Informationen auch, aber nicht abschließend, die Patentlizenzverträge selbst umfassen), sowie Informationen betreffend Vertragsverhandlungen über diese relevanten Patentlizenzverträge, welche die Klägerin oder ein mit dieser verbundenes Unternehmen mit Dritten geschlossen hat oder über deren Abschluss die Klägerin oder ein mit dieser verbundenes Unternehmen derzeit in Verhandlungen steht, wobei auch solche Informationen umfasst sind, die die jeweilige Vertragsbeziehung nach Vertragsschluss betreffen, insbesondere
− Lizenzverträge, die infolge der Vorlageanordnung vorgelegt werden;
2. anzuordnen, dass die Informationen unter Ziffer I.1 auf Seiten der Beklagten nur
− den Prozessbevollmächtigten, deren Hilfspersonen (einschließlich Experten sowie ihrer Teammitglieder) und
− folgender zuverlässigen Person, nämlich:
- J. P. - Senior IP Counsel,
zur Kenntnis gebracht werden dürfen;
3. anzuordnen, dass nach endgültiger Beendigung des Verfahrens jede Partei und die unter Ziffer I.2 genannten Personen die vertraulichen Informationen nach Ziffer I.1 herausgibt oder vernichtet;
4. die Anordnung mit einer verhältnismäßigen Zwangsgeldandrohung in Höhe von mindestens EUR 100.000,00 für jeden Fall der Zuwiderhandlung zu versehen;
5. die Parteien und die unter Ziffer I.1 genannten Personen zu verpflichten, die vertraulichen Informationen nach Ziffer I.1 über das Verfahren hinaus streng vertraulich zu behandeln und die vertraulichen Informationen ausschließlich für die Zwecke dieses Verfahrens zu verwenden;
Hilfsweise für den Fall, dass den Anträgen zu Ziffer I nicht vollumfänglich stattgegeben wird, anzuordnen, dass
II. die Information und/oder die vorgelegten Unterlagen, die Gegenstand der vorstehenden Anträge nach Ziffer I sind, nicht als zur Akte gereicht gelten sollen und im Verfahren vom Gegner und vom Gericht nicht verwendet werden dürfen, wenn nicht der Kläger innerhalb von 14 Tagen nach Zugang der endgültigen Entscheidung ausdrücklich erklärt, dass die Information und/oder die vorgelegten Unterlagen trotzdem als zur Akte gereicht gelten sollen und im Verfahren vom Gegner und vom Gericht verwendet werden dürfen.“
IV. auf eine Übersetzung der als Anlagen vorgelegten Unterlagen zu verzichten.
Gründe
Zwar kann im derzeitigen Verfahrensstadium, also vor Abschluss des schriftlichen Verfahrens, nicht abschließend beurteilt werden, ob der beklagtenseits vorgebrachte FRAND-Einwand letztlich überhaupt entscheidungserheblich sein wird, denn die Beklagten bringen neben dem FRAND-Einwand auch andere Argumente gegen eine Patentverletzung vor; sollten diese durchgreifen, kommt es auf den FRAND-Einwand und die entsprechenden Beweisangebote der Parteien nicht an. Weiter ist es möglich, dass die Beklagten als nicht hinreichend lizenzwillig angesehen werden. Auch dann bliebe der FRAND-Einwand erfolglos
Die Entscheidungserheblichkeit der FRAND-Problematik kann allerdings auch nicht ausgeschlossen werden. Dem entsprechend haben beide Seiten Vorlageanträge gestellt.
Die endgültige Entscheidung über die Erheblichkeit des FRAND-Einwandes für die Entscheidung des Rechtsstreits obliegt dem gesamten Spruchkörper nach Abschluss der mündlichen Verhandlung (Regel 118.6 VerfO). Nur in Ausnahmefällen soll das Gericht nach der mündlichen Verhandlung die Verhandlung zum Zwecke des weiteren Beweisantritts vertagen (Regel 114 VerfO). Daher ist es Ziel des Wirkens des Berichterstatters im schriftlichen Verfahren und insbesondere im Zwischenverfahren, die mündliche Verhandlung so vorzubereiten, dass eine Vertagung nicht notwendig wird. Dies gilt nach Regel 104 (e) VerfO insbesondere im Hinblick auf Anordnungen hinsichtlich der Vorlage weiterer Beweismittel. Die Verfahrensordnung erlaubt es dem Berichterstatter allerdings nicht, der dem gesamten Spruchkörper nach der mündlichen Verhandlung obliegenden Streitentscheidung vorzugreifen; gleichwohl soll der Berichterstatter bereits in diesem Verfahrensstadium Anordnungen hinsichtlich der Vorlage weiterer Beweismittel treffen können.
Die VerfO enthält keine Regel, nach der die Anordnung der Beweisvorlage nur dann erfolgen darf, wenn die Erheblichkeit des fraglichen Beweisangebotes abschließend geklärt ist. Dies gilt auch im Falle geheimhaltungsbedürftiger Beweismittel, zu deren Schutz die Verfahrensordnung die Anordnung von Geheimhaltungsmaßnahmen vorsieht, nicht hingegen die abschließend festgestellte Erforderlichkeit der Beweiserhebung als zwingende Voraussetzung einer Vorlageanordnung statuiert.
Der Berichterstatter verkennt nicht, dass vorliegend potentiell geheimhaltungsbedürftige Informationen Gegenstand der beantragten Vorlageanordnung sind. Angesichts der verfahrensrechtlich möglichen Maßnahmen zum Schutz vertraulicher Informationen einerseits und dem Ziel einer zügigen Entscheidung des Rechtsstreits nach Abschluss der mündlichen Verhandlung andererseits ist zumindest die beschränkte Anordnung der Vorlage von Beweismitteln, wie sie hier erfolgt, gerechtfertigt; dies zumal dann, wenn – wie hier – beide Parteien die Vorlage entsprechender Informationen beantragen und damit zum Ausdruck bringen, dass – was sich im Übrigen auch aus den erfolgten FRAND-Verhandlungen ergibt – die Frage der angemessenen Lizenz den Kern der Auseinandersetzung darstellt.
Der Berichterstatter kommt im Hinblick auf die Vorlageanträge der Parteien zu dem vorläufigen Ergebnis, dass
- im Rahmen des FRAND-Einwandes potentiell relevant diejenigen Lizenzvereinbarungen zum 4G-Standard sind, die von der Klägerin abgeschlossen wurden. Soweit die Beklagte zu 1) beantragt, dass nicht nur Lizenzvereinbarungen, sondern auch mit solchen Lizenzvereinbarungen in Verbindung stehende Vereinbarungen vorzulegen sein sollen, die sich „auf die Gegenleistungen auswirken, die gemäß den Lizenzvereinbarungen auszutauschen sind“, ist der Antrag derzeit nicht ausreichend bestimmt. Die Beklagte zu 1) wird im Rahmen der Duplik Gelegenheit haben, ihren Antrag insoweit zu präzisieren.
Im Hinblick auf den Vorlageantrag der Beklagten zu 1) lässt sich andererseits entgegen der Ansicht der Klägerin mit dem Begriff „Vergleichslizenzverträge“ keine bestimmbare Eingrenzung der vorzulegenden Vereinbarungen erreichen;
- auch in der Verfügungsgewalt der Klägerin stehende Lizenzvereinbarungen zum 4G-Standard, die zwar von dritten Lizenzgebern abgeschlossen wurden, aber Patente zum Gegenstand haben, deren Inhaberin die Klägerin war oder derzeit ist, relevant sind;
- Lizenzvereinbarungen, die die Klägerin nach dem Vortrag der Beklagten mit zwei namentlich genannten Unternehmen (M. und Q.) geschlossen haben soll und die 4G-SEPs zum Gegenstand haben sollen, derzeit nicht als vorlagepflichtig angesehen werden. Den Abschluss eines entsprechenden Vertrages mit M. hat die Klägerin verneint; die Beklagte zu 1) hat einen solchen nicht näher spezifiziert; auch hierzu besteht im Rahmen der Duplik Gelegenheit. Nach dem Vortrag der Beklagten zu 1) handelt es sich ohnehin um zwei von mehreren Chipsatz-Lieferanten der Beklagten zu 1), so dass es an der Beklagten zu 1) ist, sich an ihre Lieferanten zu wenden, um die relevanten Informationen zu erlangen, zumal die Vorlage im Rahmen eines Erschöpfungseinwandes begehrt wird, für den die Beklagten die Darlegungs- und Beweislast tragen.
- eine vollständige Übersicht über alle Rechtsgeschäfte, bei denen Panasonic 4G-SEPs veräußert hat, nach vorläufiger Auffassung des Berichterstatters derzeit nicht klärungsbedürftig scheint.
- Lizenzvereinbarungen, die noch nicht abgeschlossen wurden, derzeit nicht relevant und vorlagepflichtig erscheinen.
- Lizenzvereinbarungen zum 3G-Standard derzeit nicht relevant und vorlagepflichtig erscheinen, weil im Rahmen der Verletzung allein die Benutzung des 4G (LTE)-Standards geltend gemacht wird.
Im Bestreben, den relevanten Parteivortrag samt dem entsprechenden Beweismittel im Rahmen des schriftlichen Verfahrens (Regel 29 VerfO) zur Vorbereitung der mündlichen Verhandlung möglichst vollständig aufzubereiten und damit eine Vertagung der mündlichen Verhandlung wegen noch fehlenden Beweisantritts möglichst zu vermeiden, ergeht folgende
Anordnung
1. Die Replikfrist einschließlich der Frist zur Erwiderung auf die Widerklage wird bis zum
17.05.2024
verlängert, um es der Klägerin im Rahmen eines sinnvollen, die Abfolge von Schrifts-ätzen gemäß Regel 29 VerfO wahrenden Fristenregimes zu ermöglichen, mit der Replik auch umfassend zu den vorgelegten bzw. vorzulegenden Lizenzvereinbarun-gen vorzutragen.
2. Es wird angeordnet, dass die Klägerin mit der Replik digitale Kopien derjenigen Li-zenzvereinbarungen vorlegt, die kumulativ folgende Voraussetzungen erfüllen:
- Die jeweilige Lizenzvereinbarung wurde von der Klägerin im Hinblick auf den 4G-Standard mit Dritten abgeschlossen und
- sie betrifft Mobilfunkgeräte.
Soweit die Klägerin im Zusammenhang mit der Vorlage der vorgenannten Doku-mente Geheimhaltungsanträge stellen möchte, wird auf die Anordnung der Lokal-kammer Mannheim vom 14.02.2024 im Parallelerfahren UPC_CFI_210/2023 hinge-wiesen.
3. Es wird angeordnet, dass die Klägerin mit der Replik digitale Kopien derjenigen Li-zenzvereinbarungen vorlegt, die kumulativ folgende Voraussetzungen erfüllen:
- die jeweilige Lizenzvereinbarung wurde von einem dritten Lizenzgeber im Hin-blick auf den 4G-Standard mit Dritten abgeschlossen und
- sie hat ein Patent oder mehrere Patente zum Gegenstand, deren Inhaberin die Klägerin war oder derzeit ist und
- sie betrifft Mobilfunkgeräte und
- sie befindet sich in der Verfügungsgewalt der Klägerin.
Soweit die Klägerin im Zusammenhang mit der Vorlage der vorgenannten Doku-mente Geheimhaltungsanträge stellen möchte, wird auf die Anordnung der Lokal-kammer Mannheim vom 14.02.2024 im Parallelerfahren UPC_CFI_210/2023 hinge-wiesen.
4. Es wird angeordnet, dass die Klägerin mit der Replik digitale Kopien folgender Li-zenzvereinbarungen vorlegt:
− Patent License Agreement (September 2019) zwischen der Klägerin und S.P. einerseits und S.E und
− Patent License Agreement (Oktober 2019) zwischen der Klägerin und S.P. einerseits und I.
Der Klägerin steht es frei, die genannten Vertragsparteien vorab über die gerichtlich angeordnete Vorlage zu informieren und die Beklagten und das Gericht mit der Replik über die entsprechende Kommunikation zu informieren.
Der Klägerin wird vorläufig gestattet, Auszüge aus den von ihr vorzulegenden Vereinbarungen zu schwärzen, soweit sich die Klägerin für ihre Tatsachenbehauptung nicht auf diese Auszüge stützen will; das Gericht behält sich vor, die Offenlegung der Schwärzungen anzuordnen.
Soweit die Klägerin im Zusammenhang mit der Vorlage der vorgenannten Dokumente Geheimhaltungsanträge stellen möchte, wird auf die Anordnung der Lokalkammer Mannheim vom 14.02.2024 im Parallelerfahren UPC_CFI_210/2023 hingewiesen.
Es wird darauf hingewiesen, dass eine Anordnung des Gerichts dahin, dass im Zusammenhang mit der Vorlage von Dokumenten bestimmte Geheimhaltungsanträge gestellt werden müssen, nach der Verfahrensordnung nicht vorgesehen ist.
5. Es wird angeordnet, dass die Beklagte zu 1) – sofern noch nicht geschehen – mit der Duplik digitale Kopien aller Lizenzvereinbarungen vorlegt, die sie mit Dritten abge-schlossen hat und die sich auf 4G-SEPs erstrecken.
Soweit die Beklagte zu 1) im Zusammenhang mit der Vorlage der vorgenannten Do-kumente Geheimhaltungsanträge stellen möchte, wird auf die Anordnung der Lokal-kammer Mannheim vom 14.02.2024 im Parallelerfahren UPC_CFI_210/2023 hinge-wiesen.
6. Die Anordnung der Vorlage weiterer Beweismittel bleibt vorbehalten.
7. Die Parteien werden aufgefordert, zu dieser Anordnung nur im Rahmen des Schrift-satzregimes gemäß Regel 29 VerfO (d.h. Replik bzw. Duplik) vorzutragen bzw. Stel-lung zu nehmen.
8. Soweit mit App_2352/2024 und App_14378/2024 weitergehende Anträge gestellt wurden, wird die Entscheidung hierüber einstweilen zurückgestellt; das Gericht be-hält sich vor, die vorstehend getroffenen Anordnungen bis zum Abschluss des Zwi-schenverfahrens zu ergänzen.
Soweit die Parteien flankierend zu den Vorlageanträgen (App_2352/2024 und App_14378/2024) Geheimhaltungsanträge gestellt haben, werden diese im entspre-chenden 262/262A-workflow verbeschieden; auf die Anordnung der Lokalkammer Mannheim vom 14.02.2024 im Parallelerfahren UPC_CFI_210/2023 wird in diesem Zusammenhang ausdrücklich hingewiesen.
9. In englischer Sprache vorgelegte Beweismittel müssen nicht übersetzt werden.

Facts
The plaintiff asserts infringement of the patent in suit in its action. The parties to the dispute have so far negotiated unsuccessfully for a licence for the plaintiff's 3G and 4G portfolio.
The defendants have countered the infringement action, inter alia, by arguing that the licence claims asserted by the plaintiff in the context of the aforementioned negotiations are not FRAND. According to the defendants, the question of what constitutes FRAND in the present case is ‘at the heart of the dispute’.
Both the plaintiff and the defendants are of the opinion that they behaved in accordance with FRAND during the licensing negotiations. Both sides have therefore requested that the court order the submission of evidence; the plaintiff has referred to contracts it has concluded itself, while the first defendant has referred to its own licence agreements and those which the plaintiff has concluded or could have concluded.
A. The defendants' submissions
The first defendant (OPPO) requested that
the plaintiff be ordered to provide the first defendant with the following documents or information in digital form within two weeks of the order being issued:
(1) All licence agreements concluded by Panasonic (including all related agreements which affect the consideration to be exchanged under the licence agreements), whereby the licensed rights cover patents that have been declared essential to the 3G and/or 4G standard (3G and/or 4G SEP) and extend to mobile communication devices;
(2) all licence agreements concluded by third parties (including all related agreements that affect the consideration to be exchanged under the licence agreements) relating to 3G and/or 4G SEPs owned by Panasonic or currently owned by Panasonic, which cover mobile communication devices and are within Panasonic's control;
(3) the licence agreements concluded by Panasonic with the companies ‘X’ and ‘Y’ to which Panasonic referred during the licence negotiations;
(4) all licence agreements concluded by Panasonic with M. and/or Q. relating to 3G and/or 4G SEPs;
(5) a complete overview of all legal transactions in which Panasonic has sold 3G and/or 4G SEPs;
(6) all agreements relating to the legal transactions listed in the overview under (5), including any supplementary agreements and/or further financial agreements through which Panasonic has received or will receive monetary benefits;
In addition, the first defendant has requested that
it be ordered that
(7) in the event that Panasonic concludes licence agreements containing 3G and/or 4G SEPs (cf. (1)), that any such agreement must be disclosed no later than (i) 14 days after its signing or (ii), if the document contains a contractual notice period with regard to the disclosure of the agreement in court proceedings, on the day after the expiry of the contractual notice period (whereby such disclosure must be made as soon as possible after signing).
and order
that OPPO be permitted to submit its own licence agreements concluded with third parties and relating to 3G and/or 4G SEPs;
and order
that the evidence need not be translated.
B. The claimant's applications
The plaintiff has requested that
I. order the plaintiff to submit electronic copies of the following licence agreements in this legal dispute:
− Patent License Agreement (September 2019) between the plaintiff and S.P. on the one hand and S.E. on the other hand;
− Patent License Agreement (October 2019) between the plaintiff and S.P. on the one hand and I. on the other hand;
The plaintiff is ordered to inform the contracting parties named by the plaintiff in advance of the intended inspection, granting them a short period of at least 15 working days to comment, and to submit the court order. The defendant and the court shall be informed of the relevant communication.
II. to allow the plaintiff to redact excerpts from these agreements insofar as the plaintiff does not wish to rely on these excerpts for its factual assertions;
III. to order that the plaintiff must submit the following confidentiality requests when presenting the agreements referred to in I.:
"I. Pursuant to R. 262.2 VerfO:
1. the following information is to be classified as confidential, so that the provisions of R. 262.2 VerfO apply and the information in question is not published in the register or disclosed in any other way, namely
information concerning patent licence agreements concluded by the plaintiff with third parties (whereby this information also, but not limited to, the patent licence agreements themselves), as well as information concerning contract negotiations on these relevant patent licence agreements which the plaintiff or an affiliated company has concluded with third parties or which the plaintiff or an affiliated company is currently negotiating, including information concerning the respective contractual relationship after conclusion of the contract,
in particular
− licence agreements submitted as a result of the order to produce documents;
2. to exclude the public from the interim hearing and/or oral proceedings in accordance with Article 45 EPGÜ in conjunction with Rule 115 VerfO, insofar as the information classified as confidential under point I.1. is to be the subject matter;
3. to redact all information contained in the grounds for the judgment or other announcements that relates to the information classified as confidential in accordance with Section I.1. (Rule 262.1 lit a) VerfO);
4. exclude the information referred to in Section I.1 from access by third parties (Art. 58 EPGÜ in conjunction with R. 262.1 b), 262 VerfO);
5. to oblige the parties to treat the confidential information referred to in Section I.1 as strictly confidential beyond the proceedings and to use the confidential information exclusively for the purposes of these proceedings;
II. In the alternative, in the event that the requests under Section I are not granted in full, to order that
the information and/or documents submitted which are the subject of the above requests under I. shall not be considered as having been submitted to the file and may not be used in the proceedings by the opponent and the court unless the plaintiff expressly declares within 14 days of receipt of the final decision that the information and/or documents submitted shall nevertheless be considered as having been submitted to the file and may be used in the proceedings by the opponent and the court."
and
"I. Pursuant to R. 262A VerfO
1. the following information shall be classified as confidential:
Information concerning patent licence agreements concluded by the plaintiff with third parties (whereby this information also includes, but is not limited to, the patent licence agreements themselves), as well as information concerning contract negotiations on these relevant patent licence agreements which the plaintiff or a company affiliated with it has concluded with third parties or which the plaintiff or a company affiliated with it is currently negotiating, including information concerning the respective contractual relationship after conclusion of the contract, in particular
− licence agreements submitted as a result of the order to produce documents;
2. order that the information referred to in section I.1 may only be disclosed on the part of the defendant
− to the legal representatives, their assistants (including experts and their team members) and
− the following reliable person, namely:
- J. P. - Senior IP Counsel,
3. order that, after the final conclusion of the proceedings, each party and the persons named in section I.2 shall surrender or destroy the confidential information referred to in section I.1;
4. impose a proportionate penalty payment of at least EUR 100,000.00 for each case of non-compliance;
5. to oblige the parties and the persons named in Section I.1 to treat the confidential information referred to in Section I.1 as strictly confidential beyond the proceedings and to use the confidential information exclusively for the purposes of these proceedings;
In the alternative, in the event that the applications under Section I are not granted in full, to order that
II. the information and/or documents submitted which are the subject of the above applications under Section I shall not be considered as having been submitted to the file and may not be used in the proceedings by the opponent or the court, unless the plaintiff expressly declares within 14 days of receipt of the final decision that the information and/or documents submitted shall nevertheless be considered as having been submitted to the file and may be used in the proceedings by the opponent and the court.
IV. to waive a translation of the documents submitted as annexes.
Reasons
At the current stage of the proceedings, i.e. before the conclusion of the written proceedings, it cannot be conclusively assessed whether the FRAND objection raised by the defendants will ultimately be relevant to the decision, as the defendants have put forward other arguments against patent infringement in addition to the FRAND objection; if these are successful, the FRAND objection and the corresponding offers of evidence by the parties will not be relevant. Furthermore, it is possible that the defendants will be deemed insufficiently willing to grant a licence. Even then, the FRAND objection would be unsuccessful.
However, the relevance of the FRAND issue to the decision cannot be ruled out. Accordingly, both sides have filed requests for a preliminary ruling.
The final decision on the relevance of the FRAND objection to the decision in the legal dispute rests with the entire panel after the conclusion of the oral proceedings (Rule 118.6 VerfO).
Only in exceptional cases shall the court adjourn the hearing after the oral hearing for the purpose of further evidence (Rule 114 VerfO). It is therefore the aim of the rapporteur's work in the written proceedings, and in particular in the interim proceedings, to prepare the oral hearing in such a way that an adjournment is not necessary. According to Rule 104 (e) VerfO, this applies in particular to orders regarding the submission of further evidence. However, the Rules of Procedure do not allow the rapporteur to pre-empt the decision on the dispute that is incumbent on the entire panel after the oral hearing; nevertheless, the rapporteur should be able to make orders regarding the submission of further evidence at this stage of the proceedings.
The Rules of Procedure do not contain any rule according to which the submission of evidence may only be ordered if the relevance of the evidence in question has been conclusively clarified. This also applies in the case of evidence subject to confidentiality, for the protection of which the Rules of Procedure provide for confidentiality measures, but do not stipulate that the necessity of taking evidence must be conclusively established as a mandatory prerequisite for an order to produce evidence.
The rapporteur does not fail to recognise that, in the present case, information that is potentially subject to confidentiality is the subject of the order for production requested. In view of the procedural measures available to protect confidential information on the one hand and the aim of reaching a swift decision in the legal dispute after the conclusion of the oral proceedings on the other, at least the limited order to produce evidence, as issued here, is justified; this is particularly so where, as in the present case, both parties request the production of relevant information and thus express their view that that – as is also apparent from the FRAND negotiations that have taken place – the question of the appropriate licence is at the heart of the dispute.
With regard to the parties' requests for a preliminary ruling, the rapporteur has come to the preliminary conclusion that
- in the context of the FRAND objection, those licence agreements relating to the 4G standard that were concluded by the applicant are potentially relevant. Insofar as the first defendant requests that not only licence agreements but also agreements related to such licence agreements that ‘affect the consideration to be exchanged under the licence agreements’ be submitted, the request is currently insufficiently specific. The first defendant will have the opportunity to clarify its request in this regard in its rejoinder.
With regard to the first defendant's request for a preliminary ruling, however, contrary to the plaintiff's view, the term ‘comparable licence agreements’ does not allow for a determinable limitation of the agreements to be submitted;
- licence agreements relating to the 4G standard which are within the plaintiff's power of disposal, which were concluded by third-party licensors but relate to patents whose owner was or is currently the plaintiff, are also relevant;
- Licence agreements which, according to the defendant's submission, the plaintiff is alleged to have concluded with two named companies (M. and Q.) and which are said to relate to 4G SEPs are not currently considered to be subject to submission. The plaintiff has denied that it concluded such an agreement with M.; the first defendant has not specified such an agreement in more detail; the defendant also has the opportunity to do so in its rejoinder. According to the submission of the first defendant, these are in any case two of several chipset suppliers of the first defendant, so that it is up to the first defendant to contact its suppliers in order to obtain the relevant information, especially since the submission is sought in the context of an exhaustion defence, for which the defendants bear the burden of proof and presentation.
- In the preliminary opinion of the rapporteur, a complete overview of all legal transactions in which Panasonic sold 4G SEPs does not currently appear to require clarification.
- Licence agreements that have not yet been concluded do not currently appear to be relevant and subject to submission.
- Licence agreements relating to the 3G standard do not currently appear to be relevant and subject to submission because only the use of the 4G (LTE) standard is asserted in the context of the infringement.
In an effort to prepare the relevant submissions of the parties, including the corresponding evidence, as completely as possible in the written proceedings (Rule 29 VerfO) in preparation for the oral hearing and thus to avoid, as far as possible, an adjournment of the oral hearing due to missing evidence, the following order is issued
order
1. The deadline for the reply, including the deadline for responding to the counterclaim, is extended until
17 May 2024 in order to enable the plaintiff, within a reasonable time frame that preserves the sequence of written submissions in accordance with Rule 29 VerfO, to respond comprehensively to the licence agreements submitted or to be submitted.
2. It is ordered that the plaintiff submit digital copies of those licence agreements that cumulatively fulfil the following requirements with its reply:
- The respective licence agreement was concluded by the plaintiff with third parties with regard to the 4G standard and
- it concerns mobile devices.
Insofar as the plaintiff wishes to file confidentiality requests in connection with the submission of the aforementioned documents, reference is made to the order of the Mannheim Local Court of 14 February 2024 in parallel proceedings UPC_CFI_210/2023.
3. It is ordered that the plaintiff submit digital copies of those licence agreements which cumulatively fulfil the following conditions:
- the respective licence agreement was concluded by a third-party licensor with third parties with regard to the 4G standard and
- it relates to one or more patents which were or are currently owned by the plaintiff and
- it relates to mobile devices and
- it is within the plaintiff's power of disposal.
Insofar as the plaintiff wishes to file confidentiality requests in connection with the submission of the aforementioned documents, reference is made to the order of the Local Chamber of Mannheim of 14 February 2024 in parallel proceedings UPC_CFI_210/2023.
4. It is ordered that the plaintiff submit digital copies of the following licence agreements with its reply:
− Patent License Agreement (September 2019) between the plaintiff and S.P. on the one hand and S.E and
− Patent License Agreement (October 2019) between the plaintiff and S.P. on the one hand and I.
The plaintiff is free to inform the aforementioned contracting parties in advance of the court-ordered submission and to inform the defendants and the court of the corresponding communication in its reply.
The plaintiff is provisionally permitted to redact excerpts from the agreements it is required to submit, insofar as the plaintiff does not wish to rely on these excerpts to support its factual claims; the court reserves the right to order the disclosure of the redacted sections.
Insofar as the plaintiff wishes to make confidentiality requests in connection with the submission of the aforementioned documents, reference is made to the order of the Local Chamber of Mannheim of 14 February 2024 in parallel proceedings UPC_CFI_210/2023.
It is pointed out that the Rules of Procedure do not provide for an order by the court that certain confidentiality requests must be made in connection with the submission of documents.
5. The first defendant is ordered, if it has not already done so, to submit with its rejoinder digital copies of all licence agreements it has concluded with third parties that cover 4G SEPs.
Insofar as the first defendant wishes to make confidentiality requests in connection with the submission of the aforementioned documents, reference is made to the order of the Local Chamber of Mannheim of 14 February 2024 in parallel proceedings UPC_CFI_210/2023.
6. The right to order the submission of further evidence is reserved.
7. The parties are requested to submit their submissions or comments on this order only within the framework of the written procedure pursuant to Rule 29 VerfO (i.e. reply or rejoinder).
8. Insofar as further applications have been made with App_2352/2024 and App_14378/2024, the decision on these is provisionally postponed; the court reserves the right to supplement the above orders until the conclusion of the interim proceedings.
Insofar as the parties have filed confidentiality requests in support of the requests for a preliminary ruling (App_2352/2024 and App_14378/2024), these will be decided in the corresponding 262/262A workflow; express reference is made in this connection to the order of the Mannheim Local Chamber of 14 February 2024 in parallel proceedings UPC_CFI_210/2023.
9. Evidence submitted in English does not need to be translated.
